Terms of Use
VoxiOmni LLC

These Terms of Use (“Terms”) govern access to and use of the VoxiOmni platform, websites, applications, APIs, voice agents, telephony services, integrations, and related services (collectively, the “Services”) provided by VoxiOmni LLC (“VoxiOmni,” “we,” “us,” or “our”).
By creating an account, accessing, purchasing, or using the Services, you agree to these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
1. The Services
VoxiOmni provides technology that allows customers to create, configure, deploy, and manage artificial intelligence voice agents.
Depending on configuration and availability, the Services may include:
- AI-powered voice conversations;
- telephone numbers and telephony connectivity;
- inbound and outbound calling capabilities;
- knowledge bases and document retrieval;
- REST API and external system integrations;
- automated actions performed through configured tools;
- call recordings;
- transcription;
- summaries and call analytics;
- human-agent transfer;
- usage reporting;
- billing and prepaid credits;
- other features made available by VoxiOmni from time to time.
Features may vary by country, plan, telecommunications provider, AI provider, or technical availability.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.
If you use VoxiOmni on behalf of an organization, you represent that you are authorized to do so.
3. Account Registration
You must provide accurate and current account information.
You are responsible for:
- maintaining the confidentiality of your credentials;
- all activity occurring under your account;
- protecting API credentials and integration secrets;
- promptly notifying VoxiOmni of unauthorized access.
You may not share credentials in a manner that creates unauthorized account access.
4. Payment Method and Promotional Credits
VoxiOmni may require a valid payment method when creating or activating an account.
Providing a payment method does not necessarily result in an immediate charge.
VoxiOmni may provide promotional or trial credits. Promotional credits:
- have no cash value;
- may expire;
- may be limited to specified services;
- may not be transferable;
- may be changed or discontinued for future customers.
Once promotional or prepaid credits are exhausted, continued use may require additional payment or automatic recharge, depending on the billing settings selected by the customer.
5. Usage-Based Billing
Certain Services are billed based on usage.
Charges may include, among other things:
- voice-agent usage by minute;
- telephone number rental;
- telephony charges;
- recording storage;
- knowledge storage;
- third-party provider costs;
- other usage-based services shown in the platform.
Prices displayed in the account or checkout experience applicable to the customer’s market will control.
Taxes, duties, telecommunications fees, or similar governmental charges may apply.
6. Telephone Numbers and Telecommunications
Telephone services may be provided through third-party telecommunications providers.
VoxiOmni does not guarantee that:
- every requested number will be available;
- any telephone number will remain permanently assigned;
- number portability will always be available;
- service will be available in every country or jurisdiction.
Customers must comply with all telecommunications, caller identification, consent, robocalling, telemarketing, and messaging laws applicable to their use.
7. Customer Responsibilities
You are responsible for the design, configuration, instructions, knowledge, tools, integrations, and business rules used by your AI agents.
You must ensure that your use of the Services complies with applicable law.
You are responsible for determining whether your use requires:
- call-recording consent;
- disclosure that a caller is interacting with AI;
- consent for automated calls;
- consent for marketing communications;
- data-processing notices;
- industry-specific disclosures.
VoxiOmni does not provide legal advice regarding your specific use case.
8. Prohibited Uses
You may not use the Services to:
- violate applicable law;
- commit fraud or impersonation;
- deceive individuals in a materially harmful manner;
- conduct unlawful telemarketing or robocalling;
- harass, threaten, stalk, or abuse individuals;
- transmit malware or malicious code;
- interfere with or disrupt the Services;
- attempt unauthorized access to systems or accounts;
- collect information unlawfully;
- violate intellectual-property rights;
- facilitate unlawful discrimination;
- engage in unlawful surveillance;
- generate or distribute illegal content;
- bypass technical or usage limitations;
- misuse emergency telephone services;
- falsely represent the AI agent as a licensed professional where legally prohibited.
VoxiOmni may suspend or terminate access where we reasonably believe the Services are being misused.
9. AI-Generated Content
The Services use artificial intelligence technologies.
AI systems may occasionally produce inaccurate, incomplete, outdated, or unexpected responses.
Customers are responsible for evaluating whether AI-generated responses are appropriate for their use case.
VoxiOmni does not guarantee that AI-generated outputs will always be:
- accurate;
- complete;
- error-free;
- suitable for a particular purpose.
Customers should implement appropriate safeguards for high-risk or regulated use cases.
10. Tools, APIs, and Automated Actions
Customers may configure agents to access external systems or perform actions through APIs and other tools.
You are responsible for:
- ensuring that you have authorization to connect each system;
- configuring permissions appropriately;
- verifying the business logic of automated actions;
- protecting credentials;
- determining whether human approval is required.
VoxiOmni is not responsible for incorrect third-party data or actions resulting from customer-defined integrations, except to the extent caused directly by VoxiOmni’s own breach of these Terms.
11. Knowledge Bases
Customers may upload or provide documents, FAQs, and other content for use by AI agents.
You represent that you have the necessary rights to upload and use such content.
You retain ownership of your uploaded content.
You grant VoxiOmni a limited license to process, store, index, retrieve, and transmit that content solely as necessary to provide the Services.
12. Call Recording and Transcription
If recording or transcription is enabled, the Services may record and process telephone conversations.
The customer is responsible for ensuring that any legally required consent, notice, or authorization has been obtained.
Recording availability, quality, and retention may depend on customer settings and telecommunications providers.
13. Customer Data
As between VoxiOmni and the customer, the customer retains ownership of its business data.
VoxiOmni may process customer data as necessary to:
- provide the Services;
- maintain security;
- prevent abuse;
- process billing;
- support customers;
- comply with law.

14. Intellectual Property
The Services, including software, interfaces, branding, designs, documentation, and underlying technology, are owned by VoxiOmni LLC or its licensors.
Except for rights expressly granted under these Terms, no rights are transferred to the customer.
“VoxiOmni” and related logos and branding may not be used without authorization.
15. Feedback
If you provide suggestions, feedback, or product ideas, VoxiOmni may use them without restriction or compensation, provided that we do not publicly identify you without permission.
16. Third-Party Services
The Services may rely on third-party providers, including telecommunications, AI, cloud-hosting, payment-processing, analytics, and infrastructure providers.
VoxiOmni is not responsible for third-party services outside our reasonable control.
Third-party services may be subject to their own terms and privacy policies.
17. Availability
We aim to provide reliable Services but do not guarantee uninterrupted availability.
The Services may be temporarily unavailable due to:
- maintenance;
- provider outages;
- telecommunications disruptions;
- internet failures;
- security events;
- force majeure;
- other events beyond reasonable control.
18. Suspension and Termination
You may stop using the Services at any time.
VoxiOmni may suspend or terminate accounts for:
- nonpayment;
- material breach of these Terms;
- illegal or abusive use;
- security threats;
- fraud;
- misuse of telecommunications services.
Where reasonable, we will provide notice before termination.
19. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW.
VOXIOMNI DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT WHERE SUCH DISCLAIMERS ARE PROHIBITED BY LAW.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOXIOMNI LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.
VOXIOMNI’S AGGREGATE LIABILITY ARISING FROM THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY THE CUSTOMER TO VOXIOMNI DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations, so some provisions may not apply.
21. Indemnification
You agree to indemnify and hold harmless VoxiOmni LLC and its affiliates, officers, employees, and contractors from claims arising from:
- your unlawful use of the Services;
- your content;
- your integrations;
- your violation of third-party rights;
- your failure to obtain legally required consents.
22. Changes to the Services or Terms
We may update the Services or these Terms.
Material changes may be communicated through the platform, website, or account email.
Continued use after the effective date of updated Terms constitutes acceptance where permitted by law.
23. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, unless applicable law requires otherwise.
